These Terms & Conditions ("Terms") govern your use of the PandaiBot platform at pandaibot.my, operated by Marz Technology & Trading ("we," "us," or "our"), a company registered in Puncak Alam, Selangor, Malaysia. By registering for or using this platform, you agree to be bound by these Terms.
1. Definitions
"Platform" — The PandaiBot AI SaaS platform at pandaibot.my
"User," "you," "your" — Any individual or entity that accesses or uses the Platform
"Account" — Your registered user account on the Platform
"Credits" — The virtual currency used to access AI features on the Platform
"AI Content" — Any output generated by AI models through the Platform (text, images, code, audio, video)
"Services" — All features, tools, and functionality provided through the Platform
"Subscription" — A recurring credit plan purchased via the Platform
"LLM Providers" — Third-party AI model providers including but not limited to OpenAI, Google, Anthropic, Meta, Mistral, and other providers accessed via OpenRouter
2. Registration & Account
2.1 Eligibility
To use PandaiBot, you must:
Be at least 18 years old
Provide accurate, current, and complete registration information
Maintain and update your information as necessary
Be legally capable of entering binding contracts in your jurisdiction
2.2 Account Responsibilities
You are responsible for maintaining the confidentiality of your login credentials
You are responsible for all activity that occurs under your Account
You must notify us immediately of any unauthorized access or security breach
You may not share, transfer, or sell your Account to another person
One person may not maintain more than one Account
2.3 Account Suspension
We reserve the right to suspend or terminate your Account if:
You violate any provision of these Terms
Your payment method fails or is disputed
We are required to do so by law
We reasonably believe your Account is being used for fraudulent purposes
3. Credits & Payment
3.1 Credit System
PandaiBot uses a shared credit pool system. Each AI feature (chat, content generation, image generation, code generation, voice, video) consumes a different number of credits depending on the AI model used. Credit costs are displayed before each generation.
3.2 Pricing
All prices are displayed in Malaysian Ringgit (RM) or United State Dollar (USD).
Prices are inclusive of applicable taxes unless otherwise stated
We reserve the right to change pricing at any time with 30 days' notice
Existing prepaid credits are not affected by price changes
3.3 Payment Methods
FPX Online Banking — Direct bank transfer via Malaysian banks
Credit/Debit Card — Processed securely via Stripe
3.4 Credit Expiration
Prepaid credits do not expire as long as your Account remains active
If your Account is inactive for 6 consecutive months, unused credits may expire
We will notify you via email 30 days before any credit expiration
4. Acceptable Use
4.1 Permitted Use
You may use PandaiBot to:
Generate content for personal, educational, or commercial purposes
Create AI-generated images, text, code, audio, and video
Use the platform as a productivity tool for your business or projects
Integrate generated content into your own work and publications
4.2 Prohibited Use
You may NOT use PandaiBot to:
Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Create content that infringes on intellectual property rights of others
Generate deepfakes, non-consensual intimate imagery, or impersonation content
Attempt to reverse-engineer, decompile, or extract the underlying AI models
Use automated scripts or bots to consume credits without authorization
Resell or redistribute the Platform's AI services to third parties
Use the Platform to develop competing AI products or services
Circumvent usage limits, rate restrictions, or security measures
Violate any applicable laws or regulations in Malaysia or your jurisdiction
5. Intellectual Property
5.1 Your Content
You retain ownership of all AI Content you generate using PandaiBot
However, by using the Platform, you grant Marz Technology & Trading a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from any content you generate, upload, input, store, or make available through the Platform, in whole or in part, for any purpose including but not limited to operating, improving, marketing, promoting, and developing the Platform and its services
This license survives termination of your Account
You represent and warrant that you have the right to grant this license for any content you submit
5.2 Our Platform
PandaiBot, including its design, code, branding, logos, and documentation, is owned by Marz Technology & Trading
You may not copy, modify, distribute, or reverse-engineer any part of the Platform
Our trademarks and brand names may not be used without written permission
5.3 AI Content — Important Disclaimers
⚠️ YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING:
LLM Provider Terms Apply. All AI Content generated through the Platform is produced by third-party Large Language Models (LLMs) and AI systems operated by LLM Providers including but not limited to OpenAI, Google, Anthropic, Meta, Mistral, Stability AI, and other providers accessed through OpenRouter. Such content is subject to, and your use thereof is governed by, the respective terms of service, acceptable use policies, content policies, and community guidelines of those LLM Providers. It is your sole responsibility to review, understand, and comply with all applicable third-party terms.
No Guarantee of Accuracy. AI-generated content may contain inaccuracies, errors, biases, outdated information, or fictional content presented as fact. We do not warrant the accuracy, completeness, reliability, or suitability of any AI-generated content for any purpose.
No Guarantee of Originality. AI-generated content may inadvertently resemble existing copyrighted works. We do not warrant that AI-generated content is original or non-infringing.
Professional Advice Disclaimer. AI-generated content is NOT a substitute for professional advice in any field including but not limited to legal, medical, financial, accounting, engineering, or mental health. You should always consult a qualified professional before relying on AI-generated content for any critical decision.
Your Responsibility. You are solely and fully responsible for reviewing, verifying, editing, and approving any AI-generated content before using, publishing, distributing, or relying on it. You assume all risk arising from your use of AI-generated content.
Content Removal. LLM Providers may modify, restrict, or remove their AI models or impose new content restrictions at any time without notice. We are not liable for any disruption, limitation, or change to AI-generated content resulting from LLM Provider actions.
6. Privacy & Data
Your personal data is collected and processed in accordance with our Privacy Policy. By using the Platform, you consent to the data practices described therein.
7. Service Availability
We strive to maintain high uptime but do not guarantee uninterrupted, error-free, or secure service
Scheduled maintenance will be announced at least 24 hours in advance when possible
We are not liable for downtime, data loss, or service disruption caused by third-party providers (LLM Providers, cloud infrastructure, payment processors, DNS providers, or any other third party)
We reserve the right to modify, suspend, or discontinue any feature at any time with or without notice
We may impose usage limits, rate limits, or credit limits at our sole discretion
8. Limitation of Liability
⚠️ TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE PLATFORM, INCLUDING ALL AI CONTENT, FEATURES, AND SERVICES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
IN NO EVENT SHALL MARZ TECHNOLOGY & TRADING, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
YOUR USE OF OR INABILITY TO USE THE PLATFORM
ANY CONTENT, INCLUDING AI CONTENT, OBTAINED THROUGH THE PLATFORM
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS
CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
ANY INTERACTION BETWEEN YOU AND ANY LLM PROVIDER
ANY INACCURACY, ERROR, OR HARM RESULTING FROM AI-GENERATED CONTENT
9. Indemnification
⚠️ YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS Marz Technology & Trading, its directors, officers, employees, agents, contractors, licensors, and suppliers from and against any and all claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising out of or relating to:
Your use of the Platform or any Services
Your violation of these Terms
Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
Your AI Content and any use thereof by you or any third party
Your violation of any LLM Provider terms of service
Your violation of any applicable law, regulation, or governmental order
Any dispute between you and any third party, including any LLM Provider
This indemnification obligation survives termination of your Account and these Terms.
10. Dispute Resolution & Governing Law
10.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.
10.2 Informal Resolution
Before filing any legal action, you agree to first contact us at hai@pandaibot.my and attempt to resolve the dispute informally for a period of at least 30 days.
10.3 Jurisdiction
Any legal proceedings arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Selangor, Malaysia.
10.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you and Marz Technology & Trading each waive the right to a jury trial.
11. General Provisions
11.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Marz Technology & Trading regarding the Platform and supersede all prior agreements and understandings.
11.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
11.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
11.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
11.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet outages, power failures, or actions of third-party service providers (including LLM Providers).
11.6 Notices
Notices to you may be sent via email to the address associated with your Account or through the Platform dashboard. Notices to us must be sent to hai@pandaibot.my.
12. Changes to Terms
We may update these Terms at any time with or without any early notification.
Continued use of the Platform after changes take effect constitutes acceptance
If you disagree with changes, you must stop using the Platform and delete your Account
